Terms of Service
The fine print, in plain language.
These terms cover how Memorate may be used, what you can expect from us, and how your account and your family's content are handled.

1. Acceptance of Terms
By creating a Sponsor account, clicking an invite link as a Storyteller, or otherwise using Memorate, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you don't agree, please don't use Memorate.
If you're setting up the service on behalf of a family member — for example, creating a Storyteller profile for a parent or grandparent — you confirm that you have the authority to do so, that you've read these Terms, and that you accept responsibility for the obligations they place on you as the Sponsor, including the consent obligations in Section 5.
2. Eligibility
You must be at least 18 years old and able to form a legally binding contract to create a Sponsor account. By signing up, you represent that you meet these requirements and that the information you provide is accurate.
Storytellers do not create an account and are not required to independently accept these Terms to use their invite link. Instead, the Sponsor who invites a Storyteller is responsible for confirming that the Storyteller is a willing, competent adult able to participate in a recorded conversation — or, where the Storyteller needs assistance due to age or health, that appropriate consent has been obtained from them or their legal representative before the invite is sent. Memorate is not directed at children and should not be used to record a minor without a parent or guardian's involvement and consent.
3. Description of the Service
Memorate helps families capture and preserve a loved one's life story. In broad strokes:
- A Sponsor (typically an adult child or grandchild) creates an account, builds a profile describing a Storyteller (typically a parent or grandparent), and sends an email invite.
- The Storyteller clicks a unique magic link and has a spoken conversation with an AI voice interviewer — no app download, account, or password required on their end.
- These conversations are recorded, transcribed, and processed using third-party AI services to generate written stories, and can be compiled into keepsakes such as printed memoirs, photo albums, graphic novels, and mini-documentary films, all organized in a digital vault the family can revisit.
Memorate is an early-stage product, and we may add, change, or remove features, AI providers, or keepsake formats over time. We'll do our best to give notice of material changes that affect your existing content or account, consistent with Section 16.
4. Accounts, Access & Invite Links
Sponsor accounts. Sponsors sign up and log in using a one-time passcode sent to their email — there's no password to manage. You're responsible for maintaining control of the email account associated with your Memorate account, and for all activity under it. Notify us immediately if you believe your account has been compromised.
Storyteller access via invite link. Storytellers access the service through a unique magic link sent by the Sponsor. That link — not a username and password — grants access to the interview session and any shared content. Because the link functions as a credential, treat it like one: don't forward it to anyone other than the intended Storyteller, and don't post it publicly. A Sponsor may deactivate or regenerate an invite link at any time. We treat use of a valid, unexpired invite link as authorized use on behalf of the intended Storyteller, and are not responsible for access obtained because a link was shared, lost, or intercepted through your own handling of it.
Accuracy and security. Both Sponsors and Storytellers agree to provide accurate information where requested and to notify us of any suspected unauthorized use of an account or invite link.
5. Recording & Consent
Recording is central to how Memorate works — Storyteller conversations are captured as audio, transcribed, and used to generate stories and keepsakes. Because of this, consent matters, and responsibility for it is shared:
We disclose the recording. Memorate's AI interviewer informs the Storyteller at the start of each session that the conversation is being recorded and transcribed to create their story and keepsakes.
You are responsible for consent. As the Sponsor, you are responsible for informing the Storyteller — before they receive or use the invite link — that their conversation will be recorded, transcribed, processed by AI, and turned into stories, keepsakes, and vault content, and for obtaining any consent legally required for that recording in your and the Storyteller's jurisdiction.
Recording-consent laws vary significantly by state and can depend on where each participant is physically located. Some states require only one party to consent; others — including California, Connecticut, Florida, Illinois, Maryland, Massachusetts, Montana, New Hampshire, Oregon, Pennsylvania, and Washington — require every participant to be informed and to consent before recording begins. This list is illustrative, not exhaustive, and these laws change; it is your responsibility to confirm what applies to your family's situation, and we encourage you to consult a lawyer if you're unsure.
Memorate is not a party to the conversation between you and your Storyteller and does not provide legal advice. By inviting a Storyteller, you represent that you have informed them of the recording and obtained any consent required by law before their first session, and you agree to indemnify us as described in Section 13 if that turns out not to be true. If a Storyteller does not wish to be recorded, they should not proceed past the point where recording is disclosed.
6. User Content & Ownership
“User Content” means the recordings, transcripts, photos, uploaded documents, voice samples, generated stories, memoirs, and other materials you or your Storyteller submit to or that are generated for you through the service.
You own your content. As between you and Memorate, you and your family retain all ownership rights in your User Content. We don't claim ownership of your family's stories, photos, or recordings, and we never sell User Content or use it to advertise to you or anyone else.
The license you grant us. To operate the service, you grant Memorate a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, transcribe, analyze, and otherwise process your User Content solely to provide, maintain, and improve the service — for example, generating a transcript, writing a story draft, producing a keepsake, or troubleshooting support. This license ends when you delete the relevant content or close your account, except to the extent a copy must persist briefly in backups or as required by law.
We do not use your family's recordings, transcripts, or photos to train third-party foundation models, and we do not share User Content with third parties except the service providers described in Section 10, who process it strictly to help us run the service.
Export and deletion. You can export copies of your recordings, transcripts, photos, and generated stories at any time, at no cost — this is a core promise of Memorate, not something we plan to paywall. You can also delete individual pieces of content or your entire account; see Section 14 for what happens then.
7. AI-Generated Content
Stories, summaries, and keepsakes produced through Memorate are created with the help of artificial intelligence — including automated speech-to-text transcription and AI-driven writing based on your Storyteller's spoken words, uploaded photos, and any supporting materials you provide.
AI-assisted writing is powerful, but it isn't infallible. Generated stories may:
- contain factual inaccuracies, including names, dates, places, or events that don't precisely match what was said;
- reconstruct, paraphrase, or fill narrative gaps in ways that go beyond a strict word-for-word transcript; or
- occasionally include details the AI inferred or generated that were not explicitly stated by the Storyteller.
Memorate-generated content is not a substitute for verified historical, genealogical, medical, or legal records. Before finalizing or printing a keepsake, we give you tools to review, edit, and correct the AI-generated story — we encourage you and your family to use them, ideally with the Storyteller's input. Memorate disclaims responsibility for the factual accuracy or completeness of AI-generated output, and you should independently verify any detail you intend to rely on for legal, medical, financial, or official purposes.
Where Memorate uses AI voice technology to generate synthetic narration or a voice likeness from a Storyteller's recordings, that use is limited to producing keepsakes for your family and is subject to the same consent obligations in Section 5 — a Storyteller's voice is never licensed, sold, or made available to any third party for any other purpose.
8. Acceptable Use
You agree not to use Memorate to:
- violate any applicable law, including recording-consent, privacy, or intellectual property laws;
- upload or submit photos, documents, or other content that you don't own or don't have the right to use;
- impersonate any person, misrepresent your relationship to a Storyteller, or create a profile or invite for someone without a good-faith, honest basis;
- record, upload, or submit content involving a person who has not consented to being recorded or depicted, where such consent is legally required;
- harass, exploit, defame, or invade the privacy of a Storyteller, Sponsor, or any third party referenced in a session;
- upload malicious code, reverse-engineer or interfere with the service or the AI systems it relies on, or scrape or bulk-extract data from the service; or
- use the service in any way that could reasonably be expected to cause harm, embarrassment, or legal liability to another person without their knowledge.
We may suspend or terminate access for violations of this section, as described in Section 14.
9. Payments, Fees & Refunds
Digital content is always free to download. Downloading your own originals — recordings, transcripts, photos, and digital story files — never costs anything and never will. Your family's memories shouldn't be held behind a paywall.
Physical keepsakes and shipping carry a flat fee. Producing physical keepsakes — such as printed and bound memoirs or photo albums — and shipping copies to family, including via a physical USB drive, involves real production and shipping costs. These items are offered for a flat fee, shown to you before you order, separate from any service access fee.
Service access fees, if applicable to your plan, are disclosed at sign-up or checkout before you're charged, along with the billing frequency.
Refunds. Digital service access fees are non-refundable except where required by law. Physical keepsake orders may be canceled for a full refund within 24 hours of ordering and before production begins; once an order enters production it is final and non-refundable due to its personalized, made-to-order nature, except where the item arrives damaged or defective, in which case we will replace it at no cost.
Taxes. Prices shown may not include applicable sales, use, or VAT taxes, which you are responsible for paying where applicable.
Price changes. We may change pricing for future purchases or renewals at any time, with reasonable advance notice before any change affects an active subscription.
10. Third-Party Services
Memorate relies on trusted third-party providers to deliver the service — including cloud hosting and storage, AI voice and language processing, email delivery, and live-call infrastructure.
Using Memorate means certain data — such as audio recordings, transcripts, photos, and email addresses — will be transmitted to and processed by these providers on our behalf, solely to operate the service. We select providers with care and require them to handle data securely, but we don't control their infrastructure and aren't responsible for outages or acts outside our reasonable control. More detail is in our Privacy Policy.
11. Disclaimers & “As-Is” Warranty
The service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or that the service will be uninterrupted, secure, or error-free.
Memorate is an early-stage product. We do not guarantee that any particular feature, AI model, or keepsake format will remain available indefinitely, and we do not warrant the accuracy, completeness, or reliability of AI-generated content (see Section 7). While we take reasonable steps to protect your data, we do not warrant that recordings, transcripts, or other User Content will never be lost, corrupted, or delayed — we strongly encourage you to export copies of anything irreplaceable.
Some jurisdictions do not allow the exclusion of certain implied warranties, so some exclusions above may not apply to you; in that case, such warranties are limited to the minimum scope and duration permitted by law.
12. Limitation of Liability
To the maximum extent permitted by law, Memorate and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, goodwill, or other intangible losses, arising out of or relating to your use of, or inability to use, the service — even if we've been advised of the possibility of such damages.
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the service will not exceed the greater of (a) the amount you paid to Memorate in the twelve months preceding the event giving rise to the claim, or (b) US $100.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for gross negligence, willful misconduct, or fraud.
13. Indemnification
You agree to defend, indemnify, and hold harmless Memorate and its officers, employees, and affiliates from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms; (b) User Content you or your Storyteller submit, including any claim that it infringes a third party's rights; (c) your failure to obtain any recording consent required under Section 5; or (d) your violation of any law or the rights of a third party in connection with your use of the service.
14. Termination & Data Export
You can leave anytime. You may stop using the service and close your account at any time.
We may suspend or terminate access if you materially breach these Terms, use the service unlawfully, fail to pay applicable fees, or where required to comply with law, and we'll give notice where reasonably practicable before doing so.
Data export on termination. Whether you close your account or we terminate it, you will have a 30-day window to export your User Content — recordings, transcripts, photos, stories, and keepsake files — at no cost before it is permanently deleted from our active systems. After that window, we may permanently delete your content, except where a copy must persist temporarily in routine backups or where retention is required by law.
If a Sponsor closes their account, associated Storyteller invite links are deactivated and can no longer be used to start or continue sessions.
15. Governing Law & Disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. You and Memorate agree to first try to resolve any dispute informally by contacting us. If we can't resolve it, the state and federal courts located in Delaware will have jurisdiction, except that either party may bring an individual claim in small claims court.
We may add a formal dispute-resolution process (such as arbitration) in a future version of these Terms; if we do, we'll give you notice and, where required, the ability to opt out before it takes effect.
16. Changes to These Terms
We may update these Terms from time to time as the service evolves. When we do, we'll post the revised Terms here with an updated “Last updated” date. For material changes — ones that meaningfully reduce your rights or change how your content is used — we'll make a reasonable effort to notify you directly, such as by email or an in-product notice, before the change takes effect. Continuing to use the service after a change becomes effective means you accept the updated Terms; if you don't agree, you should stop using the service and may close your account as described in Section 14.
